SHELL EMPLOYEES SAVINGS & LOAN ASSOCIATION, INC. (SESLA) will be holding its Annual General Membership Meeting (AGMM) virtually on 13 December, 2023 (2:00PM Philippine Time) through Zoom.

Attached is the Agenda for the AGMM. Among the topics to be discussed are the amendments of SESLA’s Articles of Incorporation (AOI) and Bylaws which both have been outdated and would need to reflect among others SESLA’s new business address (TFC) and the provisions of pertinent laws such as the Revised Corporation Code (RCC), Republic Act 8367, and BSP Circular 1115. We have likewise attached the proposed amended SESLA AOI and Bylaws for your reference.

We wish to advise that we need the votes of the members owning at least two/thirds (2/3) of the total Capital Contribution to amend both the AOI and the Bylaws. Failure to amend said AOI and Bylaws would have serious implications under the law thus, we need your utmost cooperation for this purpose.

You can accomplish the Online Ballot by following the instructions provided in the link. Deadline to accomplish the Online Ballot will be on or before 07 December, 2023. The Online Ballot also serves as a Proxy Ballot thus, if you fail to attend the AGMM, your vote will be automatically casted by your designated Proxy in accordance to your preference.
